Impulse4Invest – Participant Agreement

The Participant, whose details are provided below.

The participant agrees to join the Impulse4Invest – Business Angels Program (Cohort II), a 12-session online program organized by Impulse4Women, scheduled from January to March 2026, designed to provide practical training in startup investment and the opportunity to co-invest in real startups through a Special Purpose Vehicle (SPV).
3. Program Fee and Investment
- Training Fee: €3,500
(Early Bird rate: €3,000 if confirmed before December 11th, 2025) (taxes not included)
- Investment Ticket: €5,000 (paid separately through the SPV) (taxes not included)
- Total Program Cost: €8,500 (€8,000 with early bird discount) (taxes not included)
The Training Fee is payable directly through Stripe at the end of this form.
Once payment is received, Impulse4Women will issue an official invoice and payment receipt to the email address provided by the participant.
The investment amount will be managed separately through the SPV once the final startup is selected.
Payment of the Training Fee must be completed within this registration process via Stripe.
Once the payment is received:
- You will receive a confirmation email,
- Followed by your invoice and payment receipt,
- And then your official onboarding details (session access, program materials, and calendar).
All payments are securely processed through Stripe in euros (€).
5. Participation and Commitment
By signing this agreement, the Participant confirms:
- Their commitment to actively participate in all 12 online sessions.
- That Impulse4Women provides educational guidance, practical tools, and support during the startup evaluation and due diligence process, but does not execute or manage any investment or extra fees on behalf of participants.
- That the final investment decision through the SPV is entirely voluntary and made by the Participant.
- That Impulse4Women is not responsible for any investment outcomes, financial returns, or losses.
- That all materials and information shared during the program are confidential and for educational purposes only.
Participants acknowledge that during the program they will gain access to non-public, confidential, or proprietary information about startups, founders, and investment opportunities.
The Participant agrees to:
- Maintain strict confidentiality regarding all information shared by startups or other participants.
- Not disclose, reproduce, or distribute such information to third parties without explicit written consent from the startup or Impulse4Women.
- Use the information solely for evaluation purposes within the scope of this program.
Impulse4Women also commits to protect participant data under the same confidentiality principles and in compliance with the EU General Data Protection Regulation (GDPR).
7. Image and Recording Consent
The Participant authorizes Impulse4Women to record, capture, and use photographs, video clips, or screenshots from program sessions and events for communication, marketing, and reporting purposes.
- Never reveal confidential or proprietary information shared during sessions.
- Be limited to promotional or institutional materials (e.g., social media posts, reports, or presentations).
8. Withdrawal and Refund Policy
All Training Fee payments are
non-refundable, regardless of withdrawal date, due to the nature of program preparation, startup access, and limited participant slots.
If the program is cancelled by Impulse4Women, all fees paid will be refunded in full.
9. SPV Disclaimer and Limitation of Liability
The Participant understands and agrees that:
- Impulse4Women is not a party, shareholder, administrator, manager, agent, or beneficiary of the SPV that will be used for the investment into the selected startup.
- Impulse4Women does not manage, structure, execute, administer, or legally represent the SPV in any way.
- Impulse4Women’s role is limited to facilitating access to the investment opportunity, coordinating communication, and providing general guidance on the steps required to complete the investment.
- Any investment made through the SPV is entirely voluntary and made solely by the Participant, at their own risk and responsibility.
The Participant acknowledges that:
All
SPV-related costs, including but not limited to:
legal fees, administrative fees, notary costs, banking or transfer fees, annual SPV maintenance costs, platform fees, or any other expenses, are fully assumed by the Participant, not by Impulse4Women.
Impulse4Women shall not be held liable for:
- any financial, tax, legal, administrative, or operational consequences arising from the creation, management, or execution of the SPV,
- any startup performance, return on investment, or loss of capital,
- any delays, errors, miscommunications, or issues caused by third parties involved in the SPV or in the investment process.
The Participant agrees to indemnify and hold harmless Impulse4Women from any claim, cost, liability, or dispute arising from their participation in the SPV.
10. Governing Law and Jurisdiction
This Agreement shall be governed by and interpreted in accordance with the laws of Spain.
Any dispute, claim, or legal matter arising from or related to this Agreement, the program, or the investment process shall be submitted to the exclusive jurisdiction of the Courts of Barcelona (Spain).
By submitting this agreement, the Participant declares:
- They have read and understood this document in full.
- They accept all program terms and payment obligations.
- They authorize Impulse4Women to issue the corresponding invoice based on the provided information.
- They commit to respect all confidentiality and participation clauses outlined above.
